This website is operated under the Primary Skin brand. Throughout the site, the terms “Primary Skin,” “we,” “us” and “our” refer to Primary Skin.

Primary Skin offers this website, including all information, tools, features, products and services available through this site, to you, the user, conditioned upon your acceptance of these Terms of Service, together with any additional terms, conditions, policies and notices referenced herein or available by hyperlink.

By visiting our website, using any part of the site and/or purchasing something from us, you engage in our “Service” and agree to be bound by these Terms of Service, referred to as the “Terms.”

Where international shipping is available, customers acknowledge that orders may be subject to customs duties, import taxes, brokerage charges or other government imposed fees.

Unless expressly stated otherwise during checkout or in our Shipping Policy:

  • customs duties, import taxes, brokerage charges and similar fees imposed by authorities or third parties are the responsibility of the customer;

  • delivery estimates may be affected by customs processing or other circumstances outside our reasonable control; and

  • customers are responsible for ensuring that products ordered may lawfully be imported into their destination.

We are not responsible for delays caused solely by customs authorities, border processing or other circumstances outside our reasonable control, except where applicable law provides otherwise.

SECTION 7 – ORDERS, BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse, limit or cancel an order where permitted by applicable law.

This may include orders that appear, in our reasonable judgment, to have been placed by dealers, resellers or distributors, orders associated with suspected fraudulent activity, or orders affected by genuine pricing, inventory or technical errors.

If we change or cancel an order after it has been submitted, we will make reasonable efforts to notify you using the contact information provided with the order and will issue any refund required by applicable law.

You grant Primary Skin a non exclusive, worldwide, royalty free licence to use, reproduce, publish, display, adapt and distribute content you submit in connection with operating, marketing and promoting Primary Skin and the Service, subject to applicable law and our Privacy Policy.

This licence does not transfer ownership of your content to us.

You agree that content you submit will not:

  • violate another person’s copyright, trademark, privacy, publicity or other rights;

  • contain unlawful, defamatory, threatening, abusive or obscene material;

  • contain malicious code or other material that could interfere with the Service;

  • misrepresent your identity or relationship with another person or organization; or

  • contain content that you do not have the right to provide.

Any product purchased through Primary Skin remains subject to applicable legal warranties, statutory protections and any express warranties that may apply.

To the maximum extent permitted by applicable law, Primary Skin and its directors, officers, employees, affiliates, agents, contractors, service providers and suppliers will not be liable for indirect, incidental, special, punitive or consequential damages arising solely from use of the website or Service where such damages may lawfully be excluded.

Nothing in these Terms limits liability where limiting or excluding liability would be prohibited by applicable law.

SECTION 14 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Primary Skin and its directors, officers, employees, affiliates, agents and service providers from third party claims, liabilities, damages or reasonable expenses arising directly from:

  • your unlawful use of the Service;

  • your material breach of these Terms;

  • content you submit through the Service that violates the rights of another person; or

  • your violation of applicable law or third party rights.

This section does not require you to indemnify us for our own unlawful conduct, negligence or other liability that cannot legally be transferred to you.

SECTION 15 – GOVERNING LAW

These Terms and your use of the Service are governed by the laws of the Province of Quebec and the applicable federal laws of Canada, without excluding any mandatory laws that apply based on your place of residence.

If you are a consumer, nothing in these Terms deprives you of rights or remedies provided by mandatory consumer protection legislation.

Nothing in these Terms requires a consumer residing in Quebec to waive any right to bring a dispute before a court or other authority having jurisdiction under Quebec law.

SECTION 16 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision will be enforceable to the maximum extent permitted by law.

Any unenforceable portion will be treated as severed from these Terms without affecting the validity and enforceability of the remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Any waiver must be expressly made and applies only to the circumstances for which it was given.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy and any other policies or operating rules posted by us in relation to the Service, constitute the agreement between you and Primary Skin concerning your use of the Service, subject to any additional rights provided by applicable law.

Any ambiguity in these Terms will not automatically be interpreted against either party solely because that party drafted the Terms.
